Terms of Service

1. Acceptance of Terms
By creating an account, subscribing to, or using the SaccoWorks platform ("Service"), you agree to be bound by these Terms of Service ("Terms") between your organization (the "Sacco", "Client", or "User") and eLivecode Solutions Limited ("we", "us", or "our").
If you are entering into this agreement on behalf of a Sacco, Cooperative, or MFI, you represent that you have the authority to bind such entity to these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.
2. Description of Service
SaccoWorks is a multi-tenant cloud-based software-as-a-service (SaaS) platform designed for Saccos and Micro-Finance Institutions in Kenya.
Key functionalities include membership management, BOSA/FOSA administration, contribution tracking, loan processing and scoring, Safaricom M-Pesa API transaction integrations, SMS notifications, and SASRA compliance reporting. The Service is provided on a subscription basis as detailed below.
3. Subscriptions, Fees & Billing
- Pricing & Billing: Subscription fees are billed on a recurring monthly or annual basis. Base pricing starts at KES 15,000 per month, as detailed in your specific service order form.
- Payments: All fees are payable in Kenyan Shillings (KES) unless otherwise specified. Subscriptions are payable in advance of the billing cycle.
- Taxes: Fees are exclusive of applicable taxes (such as VAT), which will be added to the invoice where required by Kenyan tax law.
- Late Payment: We reserve the right to suspend access to the SaccoWorks platform if invoices remain unpaid for more than 14 days after the billing date.
4. Account Administration & Security
The Sacco is responsible for maintaining the confidentiality of its login credentials (usernames and passwords) and for restricting access to its staff.
You agree to notify us immediately of any unauthorized access, security breach, or compromise of credentials. eLivecode Solutions Limited will not be liable for any loss or damage arising from your failure to maintain account security.
5. Sacco Member Data Ownership
Your Data: The Sacco retains all rights, title, and ownership interest in all member data, financial records, and files uploaded to the platform.
License to Host: You grant us a worldwide, non-exclusive, royalty-free license to host, transmit, and process your data solely for the purpose of providing the SaccoWorks platform and supporting your operations.
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload or transmit any malicious code, viruses, or spyware.
- Reverse engineer, decompile, or attempt to extract the source code of SaccoWorks.
- Use the SMS system to spam individuals or send unsolicited promotions unrelated to Sacco business.
- Attempt unauthorized access to other Saccos' data or system networks.
- Violate any applicable laws in Kenya, including the Computer Misuse and Cybercrimes Act 2018.
7. Service Uptime & SLA
We target a 99.9% service uptime for SaccoWorks, excluding scheduled maintenance windows. Scheduled maintenance is typically conducted during off-peak hours (between 11:00 PM and 4:00 AM EAT), with advance notice provided to Sacco administrators.
Support is available Monday to Friday, 8:00 AM to 5:00 PM EAT, via WhatsApp, email, or telephone. Critical severity issues (system outages) are monitored and addressed 24/7.
8. Limitation of Liability
To the maximum extent permitted by Kenyan law, eLivecode Solutions Limited shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, loss of data, or business interruption.
Our total aggregate liability for all claims arising out of or related to these Terms or the use of the Service shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
9. Dispute Resolution & Governing Law
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of Kenya.
Any dispute arising under or in connection with these Terms shall first be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Nairobi, Kenya, under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
10. Amendments & Contact Info
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this website and updating the "Last Updated" date. Continued use of the Service constitutes acceptance of the new Terms.
