Terms of Service

1. Agreement
These Terms govern your use of the SaccoWorks platform (“the Service”) provided by eLivecode Solutions Limited (“we”, “us”). By subscribing to or using the Service you agree to these Terms. A signed subscription or services agreement, where one exists, takes precedence over these Terms.
2. The Service
SaccoWorks is a cloud-based Sacco management platform. The specific modules, capacity and support tier available to you are those set out in your accepted proposal or order.
3. Accounts & access
You are responsible for keeping user credentials secure and for the activity of your authorised users. You must notify us promptly of any suspected unauthorised access.
4. Acceptable use
You agree not to misuse the Service, attempt to breach its security, or use it for unlawful purposes. You are responsible for the accuracy and lawfulness of the data you enter.
5. Fees & payment
Fees, inclusions and payment terms are those stated in your proposal or order. Third-party charges (SMS, USSD, M-Pesa/Safaricom, bank charges, hardware) are billed separately. Late payment may result in suspension after notice.
6. Intellectual property
All intellectual property in the Service and its software remains with eLivecode Solutions Limited unless a separate source-code or perpetual-licence arrangement is agreed in writing. Your data remains yours.
7. Data protection
We process personal data in accordance with our Privacy Policy and the Kenya Data Protection Act, 2019. Your Sacco's data belongs to you and can be exported on request in line with your agreement.
8. Availability & support
We target 99.5% monthly availability (excluding scheduled maintenance and third-party outages) and provide support per the applicable SLA. Uptime and support commitments are those published or contracted, not guarantees of uninterrupted service.
9. Warranties & disclaimer
We provide the Service with reasonable skill and care. Except as expressly stated or required by law, the Service is provided “as is” without further warranties.
10. Limitation of liability
Neither party is liable for indirect or consequential loss. Our aggregate liability is limited to the fees paid in the preceding twelve months, save for liability that cannot be limited by law.
11. Termination
Either party may terminate for material, uncured breach on written notice. On termination, accrued fees remain payable and we will make your data available for export as set out in your agreement.
12. Governing law
These Terms are governed by the laws of Kenya. Disputes will be resolved by good-faith negotiation and, failing that, in accordance with your agreement.
